a guest or a registered user. The Website is a business-to-business (B2B) marketplace that connects registered funeral product vendors (“ Vendors ”) with registered funeral home operators (“ Funeral Homes ”) for the sale and purchase of funeral-related products;

marketplace features are available only to verified Vendors and verified Funeral Homes as described in these Terms.

The Website is offered for use in the United States and Canada only;

access or use from other jurisdictions is not permitted unless we explicitly authorize such use in writing.

Users accessing the Website from Canada acknowledge that the Website is operated from the United States and agree that their use is subject to U.S. law and these Terms;

however, Canadian users retain all mandatory consumer protection rights under applicable Canadian federal and provincial law, and nothing in these Terms shall be construed to waive such rights.

Access to marketplace features requires completion of the applicable registration process and successful verification by us, which may include manual review and third-party identity or KYB/KYC checks (including Stripe identity verification).

By using this Website, you represent and warrant that you meet these eligibility requirements, that the information you provide during registration is truthful and accurate, and that you are located in the United States or Canada.

If you do not meet these requirements, you must not access or use the Website.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion.

Material changes will be effective thirty (30) days after posting notice of such changes on the Website and via email to registered users.

Non-material changes are effective upon posting and apply to all access to and use of the Website thereafter.

However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website.

We offer the Website for use in the United States and Canada only;

any access from outside these jurisdictions is subject to local law and our discretion.

It is a condition of your use of the Website that all the information you provide is correct, current, and complete, and you must promptly update your account and registration information to keep it accurate and current.

For Vendors, required registration information includes business name, business address, contact email and phone, and may include EIN, billing address, and bank account information collected via our payment processor (Stripe) for KYC/KYB and payout purposes.

For Funeral Homes, required registration information includes business name, shipping address, contact email and phone, and funeral provider license number.

You agree that all information you provide to register with this Website or otherwise, including, but not to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy and these Terms.

The Privacy Policy also explains that we may share your information with service providers and subprocessors for the business purposes described therein;

In summary, and subject to the detailed procedures and limitations in the Privacy Policy and applicable law, you may have rights to: access the personal data we maintain about you;

Session timeouts are set to 24 hours for inactive sessions, though you may be logged out sooner for security reasons.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use, have failed our verification or KYC/KYB checks, have engaged in fraud or other abusive conduct, or where suspension or termination is necessary to comply with applicable law.

We may suspend accounts pending manual review and will provide notice where practicable.

Intellectual Property Rights

The Website and its entire contents, features and functionality that are created or provided by us (including but not to our user interface, software, design, text, images, video and audio provided by us) are owned by us, our licensors or other providers of our provided material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

A submitting Vendor owns its own content, including product listings, descriptions, photographs, specifications, technical documentation, and related materials that Vendors submit (“ Supplier Content ”).

By submitting Supplier Content to the Website, each Vendor grants us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, and perform such Supplier Content solely in connection with operating, promoting, and improving the Marketplace and the Website.

We will not modify Supplier Content in a manner that materially alters its meaning without the Vendor's consent, except as necessary for technical formatting or display purposes.

All rights not expressly granted are reserved.

These Terms of Use permit you to use the Website only to the extent necessary to access and use the marketplace in the ordinary course of your business if you are a registered and verified Funeral Home or Vendor and in accordance with these Terms.

Any other commercial use of the Website, its content, or functionality (including scraping, republication, or commercial redistribution) is prohibited unless you obtain our prior written permission.

You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Website except as expressly permitted by these Terms or with our prior written consent.

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

You may store files that are automatically cached by your Web browser for display enhancement purposes.

All accounts are subject to registration, Stripe-provided identity verification (KYC/KYB), and manual review and approval by Vault Funeral Technology Inc. prior to access to the marketplace;

All User Contributions must comply with the Content Standards set out in these Terms of Use and may be subject to pre- or post-publication review as part of Vault’s manual moderation process for Verified Users.

By providing any such non-proprietary User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors and assigns a non-exclusive, worldwide, royalty-free, transferable and sublicensable right and license to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties such User Contributions for the purposes of operating, promoting, and improving the marketplace and related services (including caching, indexing, and syndication).

This license terminates when you remove your User Contribution from the Website, except to the extent the content has been shared with others and they have not deleted it, or as necessary for legal compliance or dispute resolution.

Personal information associated with User Contributions may be shared with our service providers as described in the Privacy Policy.

Vault acts as a B2B marketplace and platform provider and does not manufacture or independently verify the representations made by Suppliers beyond the verification and review processes described herein.

Monitoring and Enforcement; Termination

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES OR OUR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS

NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS OF USE SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE;

(B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (D) VIOLATIONS OF CONSUMER PROTECTION LAWS;

OR (E) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING BUT NOT TO DELAWARE STATUTORY REQUIREMENTS.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify and hold harmless us, our affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not to, your User Contributions, any use of the Website’s content, services and products other than as expressly authorized in these Terms of Use, or your use of any information

obtained from the Website. For clarity, Vault may disclose user information to third-party service providers as described in the Privacy Policy;

such disclosures do not affect your indemnification obligations.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the State of Delaware or any other jurisdiction).

Additional privacy rights may apply to Users as described in our Privacy Policy;

these may include the right to access, correct, request deletion of, or export personal information, and to opt out of certain sharing or targeted marketing.

Such rights are subject to verification procedures and applicable law.

Vault may share user data with its service providers as described in the Privacy Policy for the purposes set out therein.

This choice of law applies to all users accessing the Website, including those from the United States and Canada, to the extent not prohibited by mandatory consumer protection laws of the user's jurisdiction.

For users located in Canada, this choice of Delaware law shall not deprive such users of the protection afforded by mandatory provisions of the law of their province of residence that cannot be derogated from by agreement.

Subject to the arbitration provision below and to the extent not prohibited by mandatory consumer protection laws, any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the City of Wilmington and County of New Castle, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding;

provided, however, that either party may bring any suit, action or proceeding against the other party for breach of these Terms of Use in the defending party's country of residence or any other relevant jurisdiction.

Nothing in this provision shall prevent a consumer from bringing an action in the courts of their place of residence where such right cannot be waived under applicable consumer protection law.

You consent to the personal jurisdiction of such courts and waive all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Notwithstanding the foregoing, additional privacy rights and remedies described in the Privacy Policy or under applicable law may apply and may affect available remedies or procedures related to privacy or data protection claims.

Arbitration

Any disputes arising from these Terms of Use or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, shall be submitted to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law, except where such mandatory arbitration is prohibited by applicable consumer protection law.

This arbitration provision does not apply to users who are consumers protected by laws that prohibit pre-dispute mandatory arbitration clauses.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

The arbitration shall be conducted in Wilmington, Delaware. Each party shall bear its own costs and expenses in the arbitration, except that the arbitrator may award reasonable attorneys' fees and costs to the prevailing party.

Notwithstanding the foregoing, if a consumer initiates arbitration, we shall pay all AAA filing, administration, and arbitrator fees for claims seeking less than $75,000, unless the arbitrator determines the claims are frivolous.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Nothing in these Terms, including this arbitration provision, shall be construed to limit or waive any privacy rights or remedies that may apply under applicable privacy laws or under our Privacy Policy;

additional privacy rights and disclosures (including how we share data with service providers) are described in the Privacy Policy and may apply to certain users.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES;

OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

This limitation period does not apply to claims for fraud, personal injury, or death, or where a longer statutory limitation period is mandated by law and cannot be shortened by agreement.

Waiver and Severability

No waiver by us of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, our Privacy Policy, and Terms of Sale constitute the sole and entire agreement between you and Vault Funeral Technology Inc. with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

For the avoidance of doubt, the Privacy Policy (which is incorporated herein by reference) describes how we may share user data with service providers and subprocessors in connection with providing the Services, and it explains the rights users have to access, correct, delete, or port their personal data and how to exercise those rights.
